Mark Zuckerberg Used To Buy Shareholders’ Voting Rights For $100

Facebook co-founder and CEO Mark Zuckerberg has a 28.4 percent in his company but also controls 57.1 percent of the voting shares. He pulled this off by handing out $100 bills.
Facebook co-founder and CEO Mark Zuckerberg is one good negotiator. As I noted when Facebook filed for its $5 billion initial public offering (IPO) last week: the numbers show that Zuckerberg has a 28.4 percent stake in the company, but that he also has voting control over at least 57.1 percent of Class B shares through a chain of agreements with other shareholders. It turns out Zuckerberg gave shareholders $100 a piece for ceding voting control to him.

So, how did he pull that off? It turns out when Facebook amended its IPO filing yesterday, Zynga wasn’t the only extra detail being underlined. Here’s an excerpt from the FORM OF “TYPE 1″ HOLDER VOTING AGREEMENT document filed with the U.S. Securities and Exchange Commission (SEC). Notice the last sentence:
The Stockholder holds shares of Common Stock of the Company. This Agreement, among other things, requires the Stockholder to vote all such shares of Common Stock and all shares of capital stock of the Company which such Stockholder currently owns or hereafter acquires or as to which he otherwise exercises voting or dispositive authority (together all such shares referred to in this sentence and any securities of the Company issued with respect to, upon conversion of, or in exchange or substitution of such shares, and any other voting securities of the Company subsequently acquired by the Stockholder, the “Shares”) in the manner set forth herein. This agreement is being entered into in exchange for a payment of $100 in cash from the Proxyholder to Stockholder and for other good and valuable consideration, the sufficiency of which is hereby acknowledged and agreed.

In other words, early Facebook investors signed away their voting rights to Zuckerberg in exchange for $100 cash. Multiple investors signed these agreements, including Napster co-founder Sean Parker, Facebook’s first president, and several of the company’s venture capital backers (Accel Partners and DST Global come to mind).

While the $100 payments were likely a formality, it still shows how persuasive Zuckerberg was in convincing investors he really knows what’s best for Facebook. Mind you, by this point Zuckerberg likely had changed his mind and no longer wanted to sell Facebook to a bigger company.

Did Chinese Security Firm Snag Too Many American Security Secrets Before The Barn Door Closed?

Just how much of Symantec’s security code does and has Huawei had access to? And how much of a risk does that present to American interests?

Let me be upfront about this: I do not trust this Huawei company. On the one hand, they could be like any other enterprise, trying to sell their products all across the world. On the other hand, they have ties to the Chinese military and keep trying to insert themselves into America’s networking infrastructure.

A few years ago, they tried to buy supercomputer technology by acquiring the assets of 3Leaf Systems. They tried to acquire networking giant 3Com back in 2008. Then, in 2010, they tried toinsert themselves into the Sprint Nextel network.

In each of these cases, surprisingly wise heads in the U.S. government interceded and prevented the company’s incursion into our security infrastructure.

Now, you need to understand that while Huawei could be just another technology company, it probably isn’t. Their CEO is a former Chinese military officer, the company has known ties to the Chinese military, and — as we sadly know — there’s some concern about China’s behavior when it comes to the United States.

Guillermo Gomez-Sanchez is a 50 year old legal resident with a mental disability. In 2004 Gomez was detained because of a dispute at a grocery store over a bag of tomatoes.

Guillermo spent 2 years at a private CCA (Corrections Corporation of America) detention facility – the corporation neglected to report his medical condition.

CCA profited close to $90,000 off of Gomez’ incarceration, and ensured greater profit by failing to disclose his mental disability effectively leaving Guillermo trapped for 2 years. In 2010 CCA CEO Damon T. Hininger received $3,266,387 in total compensations.

French Company Bans Internal Email

In case big email providers like Microsoft, Google, and Yahoo hadn’t already been scared stiff by recent online communication trends, this news should wake them up.

A huge French company has just banned the use of email within the company. Instead, having concluded that the vast majority of email is just time-wasting noise, it is switching all employees to a Facebook-like interface and instant messaging.

The company is Atos.  Susanna Kim of ABC reports:

CEO Thierry Breton of the French information technology company said only 10 percent of the 200 messages employees receive per day are useful and 18 percent is spam.  That’s why he hopes the company can eradicate internal emails in 18 months, forcing the company’s 74,000 employees to communicate with each other via instant messaging and a Facebook-style interface.

Caroline Crouch, a spokeswoman for the company, told ABC News the goal is focused on internal emails rather than external emails with clients and partners. Atos has already reduced the number of internal emails by 20 percent in six months.

When asked how employees have responded to the policy, Crouch told ABC News the overall response “has been positive with strong take up of alternative tools.”

Breton, Atos’s CEO, says he hasn’t sent an email in three years. (And he’s obviously managed to keep his job.)

This trend at the corporate level mirrors email trends among young people–the future workforce. As the chart below shows, the use of web-based email by the younger crowd is plummeting, as these folks communicate via Facebook, IM, and texting instead.

Email is still an extremely convenient way to communicate, so it’s not likely to go anywhere. But there’s no question that email is losing share of digital communications, including in the workplace. And that’s not good for companies that depend on it for their livelihoods.

Soul Plane: Tyler Perry Buys American Airlines; Changes Name To African-American Airlines

DALLAS –   Tyler Perry reportedly made an offer to buy American Airlines.  They accepted.  The new airline:  African-American Airlines.

The Texas-based AMR Corporation, the parent company of American Airlines, announced that the company filed petitions for Chapter 11 reorganization in the U.S. Bankruptcy Court for the Southern District of New York, “in order to achieve a cost and debt structure that is industry competitive and thereby assure its long-term viability and ability to continue delivering a world-class travel experience for its customers.”

WWN has learned that wealthy actor-director Tyler Perry has made an attractive offer for American Airlines.  The offer, said to be near $5 billion dollars, was quickly accepted by the airline.

“Mr. Perry made a bold and brilliant move… he is the smartest mogul in the country,” said a source close to American Airlines.  ”No other businessman would have the guts to try to bail out the biggest airline in the United States.”

Perry, the creator of the “Madea” character and the “House of Payne” sitcom, reportedly plans to rename American Airlines – African-American Airlines.  The new Perry run airline will be targeted to African-American passengers, but industry experts say that many white, asian and latino passengers will want to fly the airline, “just to be cool.”

Sources close to American Airlines said the sale to Perry is in the best interest of  the company and its shareholders.

Perry said he will not only be the CEO of the new airline, but he also will be the CFO, the COO, the CIO, the director of human sources and, of course, he will pilot many of the AAA flights.

American said it is operating normal flight schedules, honoring tickets and reservations, and making normal refunds and exchanges – during the transition period.

Perry reportedly said he will slowly implement new changes.  ”I want every flight to be a positive experience for all passengers and I hope to turn every flight into a morality play of sorts.”

How will Perry turn a flight into a morality play?  ”He hasn’t figured that out yet, but there will be a Madea character on every flight,” said Perry’s limo driver.

This will be Perry’s first airline, but sources say he plans to buy an airline every year for the next twenty years.

The law that created the deficit committee also created a zero-sum game: Any expensive program that escapes the budget knife does so at the expense of cuts to other programs. If the military contractors succeed in keeping the war budget intact, they’ll likely do so at the expense of Social Security and Medicare. That means money that would go to your Social Security or Medicare benefits will instead go into the hands of people like Lockheed Martin CEO Robert J. Stephens, who last year made $21.9 million, almost totally from taxpayer-funded military contracts.

Roberto Cavalli Shows Spring 2012 Collection At Tel Aviv Fashion Week (Video)

Roberto Cavalli‘s Spring 2012 collection was so nice, he’s showing it twice!

Cavalli staged a runway show in Tel Aviv, which is currently holding its first fashion week in over 30 years. While the fashion industry is alive and active in Israel, Israeli designers rarely play a role on the international stage.

But this week they’ve got the world’s attention, as Israel is staging a major fashion week in cooperation with Italy. As the Jerusalem Post reports, the two countries are drawn together over fashion, technology and a connection between two of its two biggest cities, Milan and Tel Aviv, which are “sister cities.”

Camera Nazionale della Moda Italiana, Italy‘s CFDA equivalent, worked with Israeli fashion executives led by Ofir Lev, the deputy CEO of the Israel Fashion and Textile Association, to get the project off the ground. The process, says the Jerusalem Report, took two years.

So today, one of Italy‘s biggest names showed his wares on a runway at Jaffa’s historical Railway Station. Roberto Cavalli gave an encore performance of his Spring 2012 line, which originally showed in Milan.

“I feel that fashion today… is international,” Cavalli said at a Tel Aviv press conference, “because all of you read the same magazines, we watch the same movies and fashion is there. From there you get an idea what to buy.”

We are definitely getting an idea of what to buy from Cavalli’s Israeli reprise. On our shopping list: backless dresses, animal prints and loads of sequins.

DELL:”Was ‘Misconstrued’ When I Said Apple Should Shutdown & Return Shareholders Money”

When Apple was at a low point, Michael Dell said of the company, “I’d shut it down and give the money back to the shareholders.”

Today at the Web 2.0 Summit event in San Francisco, he said his quote was “largely misconstrued.”

“I’m not a CEO for hire, if you ask me what I would do if I were the CEO of any company, it’s not something I really think about,” he said. “Certainly I have tremendous respect for Apple, they have done incredibly well.”

That could be because Apple has long since blown past Dell and become the largest technology company in the world. Apple now has a market cap of around $390 billion compared to Dell’s roughly $30 billion market cap.

Politicians are corrupt…So many companies are corrupt and taking excessive profits in certain sectors…….and we keep allowing this s*** to happen
There are 1 billion plus people living in extreme poverty. You know what that is? You don’t know if your getting your next meal, no shelter, no medical. You have no chance of hustling your way out of it!

Eagle President/CEO Leads Mayor’s Young Men’s Initiative

 David C. BanksNew York City Mayor Mike Bloomberg‘s announcement on Thursday, August 4 launching the Young Men’s Initiative was the culmination of a comprehensive 18-month study led by David C. Banks, Eagle Academy Foundation President and CEO, and Ana Oliveira, New York Women’s Foundation President. Banks was named co-chair to lead the important policy project in January 2010, and worked with top mayoral aides and City commissioners to identify strategies and interventions to produce better outcomes for young men of color. These strategies include a targeted $42 million to strengthen education resources for young men of color.

“I am so proud to have been a part of Mayor Bloomberg‘s Young Men’s Initiative where the Mayor has been fully engaged in this project since day one. This initiative is the first of its kind in the country where the private and public sectors have joined together to say that we intend to reclaim the lives of our young African American and Latino men. It is a call to action, a challenge, not only to the community and its leaders, but to the donor community, to step up and help us alter the future of these young men,” said Banks.

Campaign Launched to Raise Money for Labels Affected by Sony Warehouse Fire

A campaign has been initiated to raise money for the labels that were affected by the fire that destroyed Sony‘s distribution center in London, according to The Guardian.

The LabelLove website allows fans to donate money to the cause. People can also email labellovebenefit@gmail.com to find out about other ways to help out.

Dan Salter, a LabelLove organizer, said: “We’ve been amazingly inundated with offers of help and support on this idea, and we are going to concentrate on trying to organize a series of live events to help this cause. Based on the offers we’ve had already, this is looking likely.”

The Twitter account @_label_love_  and the hashtag #labellove  have been established to keep fans updated.

As labels assessed the damage from the fires, the Association of Independent Music (AIM) issued the following statement on Tuesday:

 

The London riots have caused the destruction of a warehouse in North London housing many of the UK‘s independent labels and artists.  All the stock has been destroyed in the fire.  This will lead to much hardship for the artists and labels affected.

AIM member labels should contact james@musicindie.com with their immediate concerns. AIM is doing what it can to support all those affected at this difficult time.

Music fans can show their support for the independent label community, and help them survive this disaster, by buying a digital download of an album from any one of the digital retailers in the UK, as well as going to their local record store whilst stocks last.

This way the labels will be able to remanufacture their CDs and vinyl more quickly, to resupply the record shops who are also affected by the riots.

Alison Wenham, Chairman and CEO of AIM, the UK‘s Trade Association for the Independent Music Industry, commented: ” This is a disaster for the music community, but with the fans’ help, labels and artists will survive.  Please show your support for the music community by buying a digital album from an independent label today.”

Leaked Emails From Google Show How Important Location Data Is To Android

The San Jose Mercury News landed some leaked emails from Google CEO Larry Page, as well as other top Google executives, which show how important gathering location data is for its mobile plans.

Last year, Motorola, one of Google’s biggest mobile partners, was planning on using Skyhook Wireless’s location data for its handsets over Google’s location data.

The Mercury News says that when Page read about Motorola’s decision to use a “competitor’s” location service — we’re guessing it was Skyhook — he pasted the article in an email to top executives at Google and asked, “Can I get a response on this?”

The Mercury News says “a detailed memo” was quickly sent back to Page, with Android boss Andy Rubin writing, location data from mobile phones was “extremely valuable to Google,” because it was having trouble getting the data via its Street View cars.

Google’s Street View cars were busted for gathering data from unsecured wifi networks. That blow up made it more challenging for Google to build a location database driving around and (more…)

Unemployment Rises…So Does Lavish CEO Salary

Remember the outrage over lavish Wall Street bonuses doled out in the wake of the financial crisis? The brouhaha supposedly put an end to the outrageous pay packages enjoyed by many American CEOs — and not just in the financial sector.

But over two years later, very little has changed. A new website launched by the AFL-CIO, aimed at focusing public attention on excessive executive compensation, touts some shocking numbers. Among them:

 

  • Last year, total compensation for CEOs averaged $11.4 million, up 23 percent from the previous year, according to data for 299 major companies.
  • CEOs at those 299 companies raked in a total of $3.4 billion. That’s enough to support over 100,000 jobs that paying the median wage of just over $33,000.
  • Average CEO compensation is 343 times that median wage.
  • Ray Irani (pictured), the outgoing CEO of Occidental Petroleum Corp., took in $76.1 million in compensation last year. Over the last decade, he received $857 million. “We’re not in the business to employ people. We’re in the business to make a profit,” Irani has said, according to the AP.
  • Evan at large financial services companies — where the furor over bonuses was focused — total compensation rose 5.7 percent in 2010, to a record $149 billion.
